Employment/Commercial Contracts Attorney Job Description
Duties
- Provide legal advice and counseling for employment matters including exempt/non-exempt classification, employment separations, non-competes, and compliance with ADA, FMLA, Colorado’s FAMLI and POWR statutes, and other state and federal employment-related laws. Position focuses on counseling and guidance and does not include any litigation or handling of agency charges.
- Review, edit and draft employee handbooks and employment policies.
- Participate in employment counseling, including addressing employee complaints and conflicts, and providing risk assessment.
- Review, edit and draft operational, commercial, and technology contracts for technology and other companies, including agreements for software licensing, SaaS, consulting and professional services, manufacturing and supply, research and development, intellectual property licensing, sales and distribution, and office leases.
- Participate in contract negotiations.
- Collaborate with clients and subject matter experts to ensure that employment matters and commercial agreements are aligned with business objectives and satisfy compliance issues.
- Prepare correspondence, memorandum and contract documentation in support of employment matters and contract execution.
- Support corporate transactions regarding employment, intellectual property and commercial issues.
Skills Required
- JD from a top-tier law school.
- Licensed (or willingness to become licensed) to practice law in Colorado
- 3 – 8 years work experience in a top national or international firm, or sophisticated in-house department.
- Excellent written and verbal skills; adept at communicating complex issues concisely and effectively with attorneys and clients.
- Well-organized and detail-oriented with an outstanding work ethic; should be able to independently manage and successfully prioritize numerous projects under deadline pressure.
- Strong interpersonal skills; can interact professionally with staff, attorneys, and clients.
- Ability to identify legal issues and exercise sound judgment.
- Has strong sense of ownership over projects and proactively looks for ways to improve processes.
- Comfortable with taking direction from others on the legal team.
- Fluency with Microsoft Office applications (Word, Excel, PowerPoint, Outlook, etc.)
- Ability to handle a fast-paced, constantly changing environment with flexibility and sense of humor
Attributes Desired
- Experience with employment matters, including employment classifications, employment separations, non-competes, employee handbooks, employment policies, employee complaints, and compliance with ADA, FMLA, Colorado’s FAMLI and POWR statutes, and other state and federal employment-related laws.
- Experience with commercial contracts for technology transactions, including SaaS agreements, software licenses and other commercial agreements. Experience with office leases is a plus.
- Conduct employment counseling and contract negotiations with minimal supervision.
- Possess excellent conflict resolution skills.
Pay Range and Benefits
$145,000 – $195,000 annual salary based on experience. Quality performance and hour bonus eligibility begin at 1,300 billable hours with significant business development bonus opportunities for client generation. Other KO benefits include:
