Corporate Attorney Job Description

KO Law PC (KO) is seeking an attorney with four to seven years of experience with corporate transactions at a top national or international firm. This position can be based out of our Denver or Boulder office.

Duties
  • Review, edit and draft contracts and related documents for corporate transactions, including formations, early-stage equity financing, credit finance and mergers and acquisitions.
  • Conduct due diligence, prepare disclosure schedules; manage capitalization tables.
  • Advise on corporate governance matters; prepare board and stockholder consents, take minutes, prepare certificates.
  • Conduct contract negotiations with minimal supervision.
  • Collaborate with clients and subject matter experts to ensure that corporate agreements are aligned with business objectives and satisfy compliance issues.
  • Prepare correspondence, memorandum and contract documentation in support of contract execution.
Skills Required
  • JD from a top-tier law school.
  • Licensed (or willingness to become licensed) to practice law in Colorado.
  • 4-7 years of experience in a top national or international firm.
  • Excellent written and verbal skills; adept at communicating complex issues concisely and effectively with attorneys and clients; excellent conflict resolution skills.
  • Well-organized and detail-oriented with an outstanding work ethic; should be able to independently manage and successfully prioritize numerous projects under deadline pressure.
  • Strong interpersonal skills; can interact professionally with staff, attorneys and clients.
  • Ability to identify legal issues and exercise sound judgment.
  • Possesses strong sense of ownership over projects and proactively looks for ways to improve processes.
  • Comfortable with taking direction from others on the legal team.
  • Fluency with Microsoft Office applications (Word, Excel, PowerPoint, Outlook, etc.).
  • Ability to handle a fast-paced, constantly changing environment with flexibility and sense of humor.
Compensation & Benefits

$155,000 – $190,000 annual salary based on experience. Quality performance and hour bonus eligibility begin at 1300 billable hours with a target of 1500 billable hours.  We also provide significant business development bonus opportunities for client generation. Other KO benefits include:

  • Fully funded employee coverage health care benefits through Cigna, including HSA contribution
  • Opportunity to participate in 401K plan with firm match up to 4%
  • Participation in annual profit-sharing plan, subject to vesting, which can result in approximately $30,000 of annual firm contributions to benefits and retirement
  • Transportation or parking stipend and a monthly technology stipend
  • Life insurance and long-term disability coverage
  • 2 month paid sabbatical after 7 years of service
