Adria Dillon is a senior corporate paralegal at KO and joined the firm in 2006. Adria specializes in corporate and securities law and has extensive experience working with companies and investors in a broad range of corporate transactions, including mergers and acquisitions, venture capital, credit finance, securities law compliance, debt and equity financings, initial public offerings, stock plan administration and corporate maintenance. Outside of the office, Adria enjoys traveling, snowboarding, listening to live music and exploring the outdoors with her family.
Ben has over 20 years of experience counseling entrepreneurs and startup companies on virtually any type of commercial contract and all forms of intellectual property and technology transactions. Over the years, he has helped startups and small businesses negotiate hundreds of deals against large business and public companies. He structures, drafts, and negotiates a wide range of commercial transactions, including all forms of services agreements, including cloud-based service agreements, SaaS agreements, professional service agreements and consulting agreements, all forms of software license agreements, distribution and reseller agreements, website agreements (like terms of service and privacy policies), technology development agreements and technology and IP assignment agreements. Additionally, Ben advises clients regarding data privacy and security issues.
Prior to joining KO, Ben was an attorney in the Technology Transactions Group of Cooley’s Colorado office and an attorney in the Business and Technology Group at Brobeck, Phleger & Harrison in Palo Alto, California. Ben received his law degree in 1995 from the University of San Francisco School of Law where he was member of the Law Review. He received a B.A. in Philosophy from the University of California at Santa Barbara in 1985. Ben is admitted to practice in Colorado and California. He is a member of the American Bar Association, the Colorado Bar Association and the Boulder County Bar Association.
In addition to caring about his family and friends, Ben cares about giving first, acting with integrity and treating others with respect. He’s an avid (but slow) cyclist and runner and amateur Instagram photographer.
Brad represents companies in a wide variety of complex commercial transactions and related matters. Brad specializes in the structuring, drafting, and negotiating of diverse commercial contracts related to software, product sales and distribution, manufacturing, technology development and transfers, reseller and distributor relationships, consulting services, procurement, outsourcing, hosting, e-commerce, partnering, and real estate leases. Brad’s transactional experience includes both domestic and international transactions where single deals have exceeded $900 million. Brad’s clients range from start-ups to large public companies and include software vendors, medical device and life sciences companies, hardware manufacturers, consulting organizations, telecommunications companies, oil and gas and “clean” energy organizations, and a wide variety of e-commerce and Internet-related businesses. For many of his clients, Brad serves as their outside “general” counsel and is their “go to” lawyer for day-to-day legal advice. Brad has been a featured presenter at the Rocky Mountain Intellectual Property Institute and has been recognized by his peers as a Super Lawyer®. Prior to joining KO, Brad spent more than six years as in-house legal counsel for General Electric Company (GE) and Siemens Corporation. While at GE, Brad served as general counsel for a $1 billion division of GE Energy. Prior to his in-house roles, Brad was an associate with Troutman Sanders in Atlanta, Georgia. Brad graduated, with honors, from Duke Law School where he was a Senior Editor of the Alaska Law Review. He received a Bachelor of Science in Applied Economics and Business Management, with distinction, from Cornell University.
In addition to his legal practice, Brad gives a damn about his family, including the education of his 2 kids, Anna and Reed. Brad serves on the Board of Directors of Stargate Charter School and enjoys skiing, hiking and spending time with his wife and soul-mate Kelly.
Charles’s practice focuses on business transactions, including company formations, mergers and acquisitions, and debt and equity financings. Before joining KO, Charles practiced in the San Francisco and Denver offices of Morrison & Foerster LLP, where he represented financial institutions and companies in a wide variety of transactions, with a large portion of his practice dedicated to project finance, M&A and commercial transactions in the renewable energy space. He has represented clients in transactions as large as $3 billion and as small as $10,000. Charles has a J.D. from the University of California, Berkeley, School of Law (Boalt Hall), order of the coif, and is licensed to practice in both Colorado and California. Prior to law school, he taught high school mathematics and Latin at a public school in the Bronx, New York. He has an M.A. in secondary mathematics education from the City College of New York and an A.B. in Latin from the University of Georgia, summa cum laude. He proudly hails from New Orleans, but he’ll cheer for the Denver Broncos—as long as they aren’t playing the New Orleans Saints.
Chris is a senior corporate paralegal at KO and joined the firm in 2012. Chris has extensive experience in complex corporate and securities transactions, including venture capital, private equity and credit financings, company formations, SEC and blue sky compliance, corporate maintenance, stock plan administration, mergers and acquisitions, public company reporting and initial public offerings. Prior to joining KO, Chris worked as a senior corporate paralegal for Cooley LLP in the Colorado office, legal affairs manager with Emergent Genetics, Inc., an international seed company, and for several law firms specializing in civil, criminal and personal injury law in Boulder and Denver. She attended the University of Colorado, Boulder and has worked as a paralegal since 1985.
Dan advises clients on business law, with an expertise in drafting, structuring and negotiating complex commercial agreements, including technology transactions. For many clients, Dan serves in the capacity of outside general counsel or as an extension of an existing in-house legal department. In this role, Dan assists clients with all aspects of their business: from agreements with suppliers, customers, and partners, to assisting with employee and intellectual property concerns.
Dan represents clients of all sizes, from early stage startup companies to public and multinational corporations, and in a wide array of industries, including software, information technology, clean tech, renewable and conventional energy, life sciences, manufacturing, consumer products, and retail.
Prior to joining KO, Dan served as general counsel for a venture-backed technology company. Dan received his law degree with a certificate in entrepreneurial law from the University of Colorado Law School where he was an editor of the Law Review. He received a Bachelor of Science in Business Administration, with honors, from Pepperdine University. Dan is admitted to practice law in Colorado and California.
Dan enjoys travel, mountain sports, and spending time with his family.
Daniella is the Operations Manager working out of our Denver office. In this role, she is responsible for overseeing the day-to-day tasks and administrative duties of the office including accounting, billing & event planning. During the past 7 successful years with KO, Daniella has also trained all new operations team members. Daniella is no stranger to office administration and client services. She draws from her 17 years of past experience while multi-tasking in her fast paced position. Before joining KO in 2008, Daniella worked as an administrative assistant and customer service manager for a diverse range of organizations within the airline, automotive, and office supply industries. Daniella loves spending time with her family. She also enjoys cooking and trained as a pastry chef at the Art Institute of Colorado – Denver.
Devon joined KO in early 2015 as an Administrative Assistant and Receptionist in the Denver Office. She attended Colorado College in Colorado Springs where she graduated Cum Laude with a BA in Italian Studies and a minor in Journalism. After college, she lived in Florence, Italy before returning home to Santa Fe, New Mexico to take on the role of Social Media and Marketing Manager at a local distillery. Devon moved to Denver in late 2014.
In addition to her work at KO, Devon loves skiing, hiking, camping, and hunting for the best green chile this side of the New Mexico border.
Greg is an attorney in the Boulder office of KO. Greg’s work focuses on assisting the attorneys at KO with a variety of complex business and commercial transactions. Greg specializes in researching the unique legal and business questions faced by KO’s clients to help ensure that KO is constantly providing the most up-to-date and practical advice. Greg works extensively with early stage companies during all stages of formation and financing and also assists with the structuring and drafting of a host of commercial contracts for clients of all sizes and in all industries. Prior to coming to KO, Greg worked for the in-house legal department at Rally Software (now CA Technologies) while in law school and served as an associate on the Deming Center Venture Fund. Prior to pursuing a career in law, Greg was a drummer and percussionist in the United States Navy Band Southwest in San Diego, California. Greg received his J.D. from the University of Colorado in May of 2016 where he was selected to be part of the inaugural Tech Lawyer Accelerator Program and served as an editor for the Colorado Technology Law Journal. Greg holds a Master of Music from the Pennsylvania State University and a Bachelor of Music from the University of Colorado.

Ian helps businesses at all stages of growth identify and reach their next critical milestone—whether a seed financing, licensing agreement, or complex merger or acquisition. He has significant experience with entity formations, venture debt and equity financings, exempt securities offerings, stockholder agreements, equity incentives, technology licensing agreements, complex mergers and acquisitions (both domestic and international), and other general corporate matters. He enjoys working with a variety of clients, including technology startups, venture and private equity funds, natural food producers, precision aerospace manufacturers, and multinational healthcare companies.
Ian began his practice at Cooley LLP during law school, and was a Managing Director of the Boulder-based Deming Center Venture Fund. He graduated from the University of Colorado Law School in 2014 where he was an editor on the Colorado Technology Law Journal. Ian received his BA in Philosophy from the University of Tennessee in 2007.
He cares about his family, skiing and playing hockey, nerding out with cutting-edge software and hardware, and life in general. He also strives to make legal services more efficient, and more transparent.
Jennifer Rosenthal is a corporate partner in the Boulder office of KO. Jennifer’s practice focuses on corporate transactions, including mergers and acquisitions, venture capital and private equity investments, company formations and general corporate representation. Jennifer works with clients ranging from startups to public companies. Jennifer is also an Adjunct Professor at the University of Colorado Law School where she teaches Venture Capital Drafting and serves on the Entrepreneurship Advisory Board for the Silicon Flatirons Center.
Jennifer has been named as one of Boulder Valley’s 40 under Forty honorees and has been awarded the Silicon Flatirons Entrepreneurship Supporter of the Year.
Prior to joining KO, Jennifer practiced in the Denver, Colorado office of Gibson, Dunn & Crutcher, an international law firm based in Los Angeles, California. Jennifer graduated from the University of Colorado Law School, where she was elected to the Order of the Coif and served as an Associate Editor on the University of Colorado Law Review.
In addition to her work, Jennifer is passionate about road biking, skiing, hiking and hatch green chile.
John’s practice focuses on corporate and business transactions and general corporate and business law, including mergers and acquisitions, debt and equity financings, company formations, public offerings, strategic alliances and general corporate representation. John’s mergers and acquisitions experience includes the representation of public and private companies on a broad array of transactions with aggregate deal values in excess of $2 billion. In addition, John has represented numerous private companies on a wide variety of issues, including formation, shareholder agreements, federal and state securities law compliance, commercial contracts, employment agreements, stock option plans and other related matters. John began his legal career working in Denver for Faegre & Benson, an international law firm based in Minneapolis, Minnesota. John spent over five years specializing in mergers and acquisitions, securities and corporate finance issues at Faegre & Benson. John graduated cum laude from the University of Michigan Law School, where he was a member of the Journal of Law Reform. He received his B.A. in political science from the University of Colorado, where he was elected Phi Beta Kappa and graduated with highest distinction.
Jon specializes in corporate and securities law with extensive experience in emerging company issues, venture capital, M&A and private equity. Jon is passionate about working with entrepreneurs on everything from formation through multiple rounds of financing and eventually ending with an exit transaction. Jon works with companies ranging from start-ups to multinational corporations and also represents angel, venture capital and private-equity investors. Jon joined KO in 2005 after practicing corporate and securities law with Wilson, Sonsini, Goodrich & Rosati in Palo Alto, California, Cooley Godward in Boulder, Colorado and Smith Anderson in Raleigh, North Carolina. Jon graduated from Duke Law School, magna cum laude and was elected to the Order of the Coif and received his B.S. in Business from the University of Colorado, Boulder, summa cum laude.
Outside of the office, Jon likes to spend his time hanging out with his kids, reading novels, traveling the globe or listening to very loud live music.
Kevin’s practice is focused on the representation of emerging growth companies, as well as leading angel and venture capital funds in their investments in public and private companies. Kevin’s practice includes representing entrepreneurs as they form businesses, counseling young companies through rounds of equity and debt financing, executing M&A and other sale transactions and providing general corporate governance, executive compensation and securities law guidance. Kevin also assists leading angel, venture capital and other investors in a variety of investment transactions. Prior to joining KO, Kevin practiced in the Silicon Valley office of Gunderson Dettmer. Before attending law school, Kevin was a CPA in the Denver, Colorado office of PricewaterhouseCoopers, focusing on audit and business consulting advisory services. Kevin graduated from the UCLA School of Law and received a BA in Accounting, magna cum laude, from the University of Notre Dame.
Krystal is a corporate paralegal at KO and joined the firm in 2016. Krystal has experience in mergers and acquisitions, company formations, and corporate maintenance. Prior to joining KO, Krystal worked as a business law paralegal for Foley & Lardner, LLP in Orlando, Florida specializing in resort development, mergers and acquisitions and corporate law, and as a paralegal for Baker & Hostetler LLP in Orlando, Florida specializing in resort development and nursing home defense litigation. She attended University of Central Florida and graduated with a B.S. in Legal Studies and has worked as a paralegal since 2002. In addition to her work, Krystal enjoys weight-lifting, hiking, cycling and running and has run several marathons and half marathons across the U.S.
Aside from the law, Lauren likes spending as much time as possible outside with her family.
Matt’s practice focuses on business transactions and corporate law, including mergers and acquisitions, company formations, and debt and equity financings. Prior to joining KO, Matt practiced in the Denver office of Perkins Coie LLP, where he focused on private equity and strategic mergers and acquisitions. Matt received his law degree from the University of Colorado Law School and was elected to the Order of the Coif. After receiving his law degree, he completed a yearlong fellowship at the Silicon Flatirons Center at the University of Colorado Law School where he worked to help strengthen the entrepreneurial community on and off campus. He received his B.S. in Mechanical Engineering from the University of Virginia and spent six years between engineering school and law school managing commercial construction projects. Matt is passionate about being better than he was yesterday, whether in his practice of law, involvement in the community, or outside riding bikes, climbing rocks, or skiing.
Matt’s practice focuses on the structuring, drafting and negotiating of a wide range of complex commercial contracts related to the procurement and sale of goods and services, software licensing, technology, research and development and nondisclosure. Matt also provides general legal and business advice to his clients and has experience in a variety of regulatory and compliance matters including trade sanctions, export compliance, vendor due diligence, anti-bribery and unmanned aerial vehicles (UAV). Clients range from small, local start-ups to Fortune 500 companies and span many different industries. Prior to joining KO, Matt spent three years as in-house counsel for Newmont Mining, a global producer of gold and copper, in which capacity he was responsible for local, national and international supply chain procurement agreements and a host of other transactional and compliance matters. Matt graduated, with distinction, from the University of Denver Sturm College of Law where he was President of the Intellectual Property Law Society and earned various accolades in legal writing and moot court competitions. Prior to law school Matt graduated cum laude from Villanova University with degrees in Philosophy and Political Science.

Matt also counsels clients on commercial and strategic contracts, such as partnership agreements, basic employment agreements, reseller/distribution agreements, joint development agreements, customer agreements, professional services agreements, and supply agreements. Additionally, Matt advises clients regarding data privacy and security issues. For many clients, Matt acts as the company’s primary outside legal counsel. Matt represents businesses across the spectrum of a company’s life-cycle, from start-up phase all the way to established Fortune 500 companies.
Prior to joining KO, Matt practiced at Cooley LLP and co-founded Stack McKinney Law Group. Before law school, Matt taught English and math for two years in Lesotho, Africa as a volunteer with the United States Peace Corps. Matt received a BA in economics from Grinnell College, and earned his J.D. from the University of Iowa College of Law in 2002 with distinction. Matt serves on the Board of Directors of Intercambio Uniting Communities, St. Vrain Football Club, and is on the City of Longmont Art in Public Places Commission.
In addition to KO and his clients, Matt enjoys being a novice beekeeper, getting outside and enjoying Colorado and, of course, his wife and two children.
Melissa specializes in general corporate and business law. She represents companies and investors in a variety of transactions, including mergers and acquisitions, debt and equity financings, company formations, general advice and other general corporate matters. Prior to joining KO, Melissa practiced in the Palo Alto, California office of Skadden, Arps, Slate, Meagher & Flom LLP. Melissa graduated cum laude from University of California, Hastings College of the Law where she was a Senior Articles Editor of the Hastings Law Journal. Melissa received a BS in Business Administration, summa cum laude, from Pepperdine University. Away from work, you will likely find Melissa outside at a park or farmers market with her two small daughters or trying new Denver restaurants with her husband.
Ryan’s practice focuses on business transactions and corporate law, including debt and equity financings, mergers and acquisitions, company formations, and on-going corporate governance matters. Ryan’s M&A experience involves the representation of public and private companies in various transactions with values exceeding $1 billion. In addition, Ryan has extensive experience representing both emerging growth companies and investors in both angel and venture capital financings. Prior to joining KO, Ryan practiced in the Boston offices of Morgan, Lewis & Bockius LLP and Bingham McCutchen LLP. Ryan received his law degree from Boston College Law School in 2010, where he graduated cum laude and served as Managing Editor on the Boston College Environmental Affairs Law Review. During law school, Ryan also studied comparative law at King’s College in London, and interned at the London offices of Citigroup. He received his B.A. in Psychology, cum laude, from Boston University in 2005, where he was a Trustee Scholar. Ryan enjoys the Colorado weather and landscape with his family, amateur astronomy and scuba diving.
Samantha specializes in the representation of companies throughout their lifecycle, including entity formations, venture capital financings, mergers and acquisitions and other general corporate matters. Samantha has substantial experience across multiple industries, including technology, consumer products, telecommunications, healthcare and energy. Prior to joining KO, Samantha was a corporate attorney in the Denver, Colorado office of Gibson, Dunn & Crutcher. Samantha earned her law degree from the University of Colorado School of Law, where she was elected Order of the Coif and served as Lead Production Editor on the University of Colorado Law Review. She received a Bachelor of Arts in Theater, graduating with distinction from the University of Colorado. Prior to attending law school, Ms. Pjesky spent several years promoting the all-natural sparkling fruit juices of IZZE Beverage Company, through its sale to PepsiCo in 2006.
In addition to crushing deals, Samantha loves eating good food every day, seeing live music, baseball, laughing (a lot) and partaking in the usual list of Colorado activities.
